ECZ-ID Global Digital Product Terms

These terms are designed for international business and professional customers of ECZ-ID downloadable evidence, readiness and assurance products supplied by EcoCitizenz Ltd, company number 17348848, registered office 66 Paul Street, London EC2A 4NA, United Kingdom.

Business / professional purchase. By purchasing, the buyer represents that the product is acquired primarily for business, professional, organisational or trade use. If mandatory law in the buyer's jurisdiction nevertheless treats the buyer as a consumer, nothing in these terms excludes or limits non-excludable statutory rights.

1. Contract and order of precedence

The contract is between EcoCitizenz Ltd ("EcoCitizenz", "we", "us") and the purchasing person or legal entity ("Customer", "you"). The documents apply in this order if they conflict: (a) a separately signed order or written amendment; (b) the applicable tier schedule; (c) the product page/order confirmation; (d) these Global Digital Product Terms; (e) the Update Policy and other operational guidance. No purchase creates a partnership, agency, fiduciary relationship or certification relationship.

2. Product and licence grant

On receipt of payment, EcoCitizenz grants a limited, non-exclusive, non-transferable licence to use the purchased product in accordance with the applicable Company, Pro or Agency Annual schedule. Ownership does not transfer. The purchased major version may continue to be used after the included update period, subject to the licence restrictions that applied at purchase.

3. Permitted use and restrictions

You may copy, adapt and complete the product only to the extent expressly permitted by the applicable tier schedule. Unless Agency Annual applies, reusable source files must not be used as a multi-client consulting product. You must not resell, sublicense, publish, distribute, upload to a public template repository, or commercially exploit reusable source files as a competing product. You must not remove ownership notices in a way that misrepresents authorship or create false verification/certification claims.

4. Intellectual property and customer content

EcoCitizenz and its licensors retain all rights in the reusable framework, written guidance, workbook logic, structure, design, examples and machine-readable schemas, except third-party material owned by its respective rights holders. You retain ownership of your facts, evidence, data and customer-specific content. The downloadable files do not, by themselves, transmit your completed evidence to EcoCitizenz.

5. Third-party standards, laws and platform material

The products may map to laws, standards, protocols, security projects, platform requirements and other third-party sources. Those materials remain subject to their own ownership and licensing terms. Mappings organise review and evidence; they do not make EcoCitizenz the authority for the referenced framework or establish that any requirement applies to your facts, sector or jurisdiction. Time-sensitive sources should be rechecked before material reliance.

6. No professional assurance or outcome guarantee

The products support self-assessment, evidence preparation, structured review and operational planning. Unless expressly stated in a separate signed engagement, they are not legal advice, tax advice, penetration testing, an independent audit, certification, attestation, insurance advice, or a guarantee of security or regulatory compliance. No product guarantees marketplace approval, procurement acceptance, insurer acceptance, regulatory approval, revenue, funding or any other third-party outcome.

7. Customer responsibilities

You are responsible for defining scope, verifying the accuracy of facts entered, maintaining evidence freshness, applying appropriate access controls, deciding what information is safe and lawful to share, using competent personnel for material decisions and keeping backups of working files.

8. Delivery, updates and support

Digital files are supplied electronically through the checkout/download mechanism or another stated method. Delivery is complete when files or access links are made available. Company and Pro include the update entitlement described in the Update Policy. Agency Annual rights and updates apply during the active annual licence period. Any support included on the product page does not include bespoke legal, security, implementation or consulting work unless separately purchased.

9. Prices, taxes and payment

Prices are displayed in the storefront currency or a local market currency where supported. Taxes may be included in or added to the displayed price depending on the customer's market and tax configuration. Customers are responsible for accurate billing/tax-registration information and for reverse-charge, self-assessment or similar recipient obligations where applicable.

10. Refunds, non-conformity and statutory rights

The Digital Delivery, Refund & Statutory Rights Notice forms part of these terms. Except where required by mandatory law or expressly stated in that notice, a digital product is not returnable merely because a purchaser changes its mind after access/download. If a delivered file is corrupted, inaccessible, materially incomplete or materially different from its description, EcoCitizenz may provide a replacement, correction, workaround, price reduction or refund as appropriate. Nothing excludes rights or remedies that cannot lawfully be excluded.

11. Warranty position

EcoCitizenz warrants that it has the right to license EcoCitizenz-authored materials and will use reasonable care to correct reproducible material defects reported during the included update period. Except for express warranties and non-excludable statutory guarantees, the product is provided on an "as available" basis and the Customer remains responsible for suitability for its specific environment, objectives and jurisdiction.

12. Limitation of liability

To the maximum extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity arising from the product. Subject to liabilities that cannot legally be limited, EcoCitizenz's aggregate liability arising from a specific product purchase is capped at the amount paid for that affected product or, for Agency Annual, the amount paid for the then-current annual licence period. Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that law does not permit to be excluded or limited.

13. Suspension and termination

EcoCitizenz may suspend or terminate licence rights for material breach, including unauthorised resale, deliberate misrepresentation of verification/certification, or non-payment, if the breach is not remedied where remediation is reasonably possible. On termination, rights to start new uses or engagements cease; lawfully delivered customer-specific outputs may continue to be retained subject to confidentiality and applicable law.

14. Confidentiality and security

Each party must protect confidential information received from the other with reasonable care and use it only for the permitted purpose. Customers are responsible for deciding what evidence should be redacted, restricted or excluded from buyer-facing outputs.

15. Export controls, sanctions and lawful use

You must not purchase, export, re-export, transfer or use the product in violation of applicable trade sanctions, export controls or other laws.

16. Governing law and international mandatory rights

For business-to-business disputes, these terms and non-contractual obligations arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction unless the parties agree otherwise in writing. This does not deprive any person of mandatory rights or protections that applicable law does not permit the parties to contract out of.

17. General

Neither party may assign the contract without the other's consent, except that EcoCitizenz may assign it as part of a bona fide corporate reorganisation, financing, merger or sale of substantially all relevant business/assets, subject to applicable law. Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations already due. If any provision is unenforceable, it will be read down or severed to the minimum extent necessary without affecting the remainder. A failure to enforce a right is not a waiver.
