1. About These Terms

These Terms of Service ("Terms") govern access to and use of the websites, online store, TrustOps services, ECZ-ID products, Resolver, applications, APIs, developer tools, software, authentication services, subscriptions, professional services, marketplaces, machine-facing interfaces and related services provided by EcoCitizenz Ltd, trading as EcoCitizenz.

In these Terms, "EcoCitizenz", "we", "us" and "our" mean EcoCitizenz Ltd.

"You" and "your" mean the person using the services and, where applicable, the business, organisation or other legal person on whose behalf that person acts.

By:

(a) accessing or using a service;

(b) creating an account;

(c) authenticating through a supported identity provider;

(d) submitting an order;

(e) purchasing a subscription;

(f) activating or using an ECZ-ID;

(g) using an API, software package or developer service;

(h) instructing an authorised person, agent or automated system to interact with our services; or

(i) accepting product-specific or engagement terms,

you agree to these Terms.

If you do not agree to these Terms, you must not purchase or use the relevant services.

Specific products or professional engagements may have additional terms, statements of work, order terms, licence terms or service descriptions. If there is a conflict, the more specific agreed terms govern that particular service to the extent of the conflict.

Our products include ECZ-ID identity, authority, state, evidence and verification infrastructure and associated TrustOps, Resolver, developer, agent, MCP and professional services.


3. Who May Use the Services

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you use or purchase a service on behalf of:

(a) a company;

(b) organisation;

(c) partnership;

(d) public body;

(e) employer;

(f) customer;

(g) principal; or

(h) another person,

you confirm that you have authority to act for that party in relation to the relevant transaction or service.

If you do not have that authority, you must not purport to bind that party.


4. Accounts, Authentication and Authority

An authenticated account establishes access to an EcoCitizenz account only to the extent supported by the authentication method used.

Authentication does not, by itself, prove:

(a) legal identity;

(b) ownership of a business;

(c) control of an existing ECZ-ID;

(d) authority to act for an organisation;

(e) Verified status;

(f) Assured status;

(g) entitlement to modify another person's or organisation's records; or

(h) authority to bind a third party.

We may support authentication through methods including:

email, password, one-time code, Google, Microsoft, GitHub and approved enterprise OpenID Connect providers.

Where a third-party identity provider is used, successful authentication ordinarily proves control of the relevant provider account at that time.

We may require additional membership, authority, ownership, claim, verification or security checks before allowing actions involving an organisation or ECZ-ID.


5. Federated Identity and Account Linking

Third-party authentication identities are distinguished using the relevant provider and its stable account identifier.

We do not treat a matching email address alone as proof that two provider accounts belong to the same person or have authority over the same organisation.

Where two provider accounts present the same email address but their relationship cannot safely be established, we may require an explicit account-linking, claim or recovery process.

We may refuse to link accounts where:

(a) an identity is already linked to another account;

(b) authority cannot be established;

(c) the linking request is expired, replayed or invalid;

(d) there is evidence of account compromise or misuse; or

(e) linking would create an unacceptable security or integrity risk.


6. ECZ-ID Products and Services

EcoCitizenz provides resolver-first identity, authority, lifecycle, evidence and verification infrastructure.

Products and services may include:

(a) ECZ-ID Parent or Business Passports;

(b) child passports or scoped identities;

(c) Declared, Verified and Assured services;

(d) Agent and MCP identity or trust products;

(e) developer software and tools;

(f) APIs and machine-readable services;

(g) badges, QR verification and verification links;

(h) authority and relationship bindings;

(i) evidence or readiness products;

(j) counterparty and supplier products;

(k) marketplace or platform integrations;

(l) subscriptions and add-ons;

(m) audits, pilots, implementation services and professional engagements; and

(n) other digital services described on the relevant product page.

The exact:

product, scope, price, billing period, prerequisites, tier requirements, deliverables and included features

are those presented in the applicable order, product page or written engagement terms.


7. Declared, Verified and Assured Status

ECZ-ID may distinguish between different levels or states, including Declared, Verified and Assured.

These states have only the meaning defined by the relevant ECZ-ID product and published service documentation.

In particular:

Declared

A Declared record may contain information supplied or asserted by the account holder or authorised participant.

Authentication, including authentication through Google, Microsoft, GitHub, email or another identity provider, does not automatically make a business identity Verified or Assured.

Verified

Verified status applies only where the relevant verification requirements have been completed and the authorised ECZ-ID systems record that state.

Assured

Assured status applies only where the applicable additional assurance requirements have been satisfied and recorded by the authorised ECZ-ID systems.

Payment alone does not create Verified or Assured status.

A successful login does not create Verified or Assured status.


8. Canonical ECZ-ID State

EcoCitizenz may operate multiple websites, applications, APIs, integrations, badges, directories and machine-facing surfaces.

Those surfaces do not independently create competing identity truth.

Authoritative ECZ-ID state is determined by the authorised ECZ-ID backend systems.

TrustOps, Resolver, marketplace listings, integrations and developer tools may acquire, display, project, facilitate or consume information, but they do not override canonical ECZ-ID state except through authorised backend processes.

Where there is a conflict between a cached, copied, displayed or historical representation and the current authoritative state, the current authoritative ECZ-ID state governs.


9. No Certification, Approval or General Guarantee

Unless expressly stated in a separate written agreement, an ECZ-ID, Resolver result, passport, badge, report or other EcoCitizenz service does not:

(a) certify that a person, business, agent, MCP server, API, product or service is safe;

(b) certify legal or regulatory compliance;

(c) certify security;

(d) certify solvency or creditworthiness;

(e) provide insurance;

(f) provide an audit opinion;

(g) constitute legal, financial, investment, insurance, accounting or regulatory advice;

(h) guarantee future behaviour;

(i) guarantee that an authority relationship remains unchanged;

(j) guarantee that third parties will accept or rely upon it;

(k) constitute endorsement by a regulator, marketplace, cloud provider, AI platform, insurer or other third party; or

(l) replace your own due diligence.

An ECZ-ID Resolver result tells you what the authorised ECZ-ID system currently records and what evidence or state is available through that system.

You remain responsible for deciding whether that information is sufficient for your purpose.


10. Resolver and Public Verification

The ECZ-ID Resolver is a public verification surface.

It may display current authoritative or authorised public information concerning an ECZ-ID.

Resolver information may include:

(a) identifier;

(b) entity or subject;

(c) tier;

(d) lifecycle state;

(e) authority or relationship information;

(f) effective or expiry information;

(g) product or scope information;

(h) evidence references;

(i) reason or state codes; and

(j) other information intended for public verification.

The Resolver is a read and verification surface, not an independent issuer of canonical ECZ-ID truth.


11. Resolver State Can Change

An ECZ-ID or associated service can change state after initial activation.

A state may become:

inactive, suspended, expired, cancelled, revoked, superseded, degraded, unavailable or otherwise changed

following circumstances including:

(a) cancellation;

(b) failed renewal;

(c) expiry;

(d) refund or payment reversal;

(e) loss of eligibility;

(f) evidence expiry or withdrawal;

(g) correction;

(h) security concerns;

(i) misuse;

(j) revocation;

(k) supersession;

(l) restoration; or

(m) another recognised lifecycle event.

You should re-check current Resolver state before making a new decision that materially relies upon the ECZ-ID.

A screenshot, copied record, badge or historical response may no longer reflect current state.


12. Orders and Contract Formation

Submitting an order constitutes an offer to purchase the selected product or service.

A contract is formed when we:

(a) accept the order;

(b) send an acceptance or order confirmation; or

(c) begin supplying the applicable service,

whichever first establishes a binding agreement under applicable law.

We may refuse, hold, review or cancel an order before activation where:

(a) the product is unavailable;

(b) pricing is clearly erroneous;

(c) required eligibility or tier conditions are not satisfied;

(d) required information is missing or inconsistent;

(e) payment is not authorised or is subsequently reversed;

(f) the transaction appears fraudulent or unauthorised;

(g) the requested product is retired, restricted or internal;

(h) the purchaser lacks authority;

(i) the transaction breaches sanctions or applicable law;

(j) the transaction would create an unacceptable security risk; or

(k) we cannot lawfully or safely provide the requested service.

Where required, amounts already paid will be refunded in accordance with applicable law and our refund policy.


13. Payment Does Not Equal Activation

A successful checkout, payment, invoice, order confirmation or receipt does not by itself establish:

(a) an active ECZ-ID;

(b) Verified status;

(c) Assured status;

(d) an active entitlement;

(e) an authority relationship;

(f) an active credential;

(g) an active badge; or

(h) a Resolver-verifiable active state.

Activation occurs only when the authorised systems complete the relevant activation, issuance, entitlement or lifecycle process.

You must not represent a checkout receipt or payment confirmation as proof of an active ECZ-ID.


14. Prices, Taxes and Payment

Prices are shown before checkout or in the relevant written engagement terms.

Products may be priced:

(a) monthly;

(b) annually;

(c) as one-off services;

(d) by usage;

(e) by estate, account or deployment;

(f) through a fixed engagement fee; or

(g) using another clearly disclosed pricing model.

Taxes will be applied where legally required.

Payments may be processed by Shopify or another authorised payment provider.

We do not ordinarily receive or store complete payment-card details.

You are responsible for maintaining accurate billing details and an appropriate payment method.


15. Subscriptions and Automatic Renewal

Where a service is sold as a recurring subscription, it will renew according to the billing interval disclosed before purchase unless it is cancelled or otherwise stated.

For example:

monthly subscriptions normally renew monthly;

annual subscriptions normally renew annually.

You authorise the applicable payment provider to collect recurring payments according to the subscription terms you accepted.

You may cancel future renewal through any cancellation facility made available to you or by contacting:

support@ecocitizenz.com

Unless otherwise stated or required by law, cancellation normally prevents the next renewal and the service remains available through the current paid period.


16. Free Services

Some EcoCitizenz products or service levels may be provided without charge.

A free service may still be subject to:

(a) these Terms;

(b) security requirements;

(c) fair-use limitations;

(d) service-specific limits;

(e) acceptable-use rules;

(f) technical restrictions; and

(g) lifecycle rules.

A free service does not create a right to paid features.

Where a service is described as free indefinitely or free while a particular product level continues to exist, this does not prevent us from modifying unrelated features or discontinuing the entire service where legally permitted, subject to appropriate notice where reasonably practicable.


17. Activation and Service Commencement

Some products require information, configuration, evidence, review, binding, authentication or another activation step.

You must provide information reasonably required to complete the service.

We may refuse or delay activation where information is:

(a) incomplete;

(b) inaccurate;

(c) misleading;

(d) inconsistent;

(e) unlawful;

(f) unverifiable where verification is required;

(g) technically unsafe; or

(h) outside the purchased scope.


18. Customer Information and Evidence

You confirm that information and evidence you provide is:

(a) accurate to the best of your knowledge;

(b) not misleading;

(c) lawfully obtained;

(d) supplied with appropriate authority;

(e) supplied with necessary privacy and confidentiality permissions;

(f) appropriate for the relevant service; and

(g) free from malware or deliberately harmful material.

You must promptly correct material information that becomes inaccurate where it affects the service.


19. Do Not Send Unnecessary Secrets or Sensitive Information

Unless we have specifically requested information through an approved secure process, you must not send us:

(a) passwords;

(b) private cryptographic keys;

(c) seed phrases;

(d) complete card information;

(e) production secrets;

(f) unrelated confidential material;

(g) special-category personal information; or

(h) other data not reasonably necessary for the service.


20. Customer Responsibilities

You are responsible for:

(a) selecting the appropriate product;

(b) understanding prerequisites;

(c) checking tier requirements;

(d) maintaining account and device security;

(e) protecting credentials;

(f) controlling people and agents authorised to act for you;

(g) reviewing transactions;

(h) supplying accurate information;

(i) completing activation steps;

(j) monitoring relevant lifecycle information;

(k) checking current Resolver state before reliance;

(l) complying with applicable law;

(m) maintaining appropriate backups of your own systems and information; and

(n) performing your own risk assessment where appropriate.


21. AI Agents and Automated Systems

Our products may be used, discovered, compared, purchased, queried or integrated through:

(a) AI assistants;

(b) autonomous agents;

(c) MCP systems;

(d) marketplaces;

(e) automated procurement systems;

(f) machine-to-machine interfaces; or

(g) other automated services.

An AI recommendation or automated product selection is not a guarantee, approval or certification by EcoCitizenz.

You remain responsible for ensuring that any agent acting for you has appropriate authority.

You are responsible for reviewing material terms before authorising payment or a consequential action.


22. Machine and Marketplace Handoffs

EcoCitizenz may provide short-lived handoff mechanisms that allow a machine, marketplace, agent or other system to refer a human user into an authorised acquisition process.

A machine or marketplace handoff does not, by itself, prove:

(a) personal identity;

(b) ownership;

(c) organisation authority;

(d) purchase;

(e) entitlement;

(f) verification;

(g) Assured status; or

(h) transfer of ownership.

Additional authentication and authority checks may be required.


23. Agent and MCP Products

Agent, MCP and machine-facing products may provide identity, authority, evidence, inspection, state or verification information.

Unless expressly stated otherwise, they do not themselves:

(a) execute customer business actions;

(b) guarantee the safety of an autonomous agent;

(c) guarantee the safety of an MCP server;

(d) act as a network security gateway;

(e) replace IAM or access-control systems;

(f) guarantee regulatory compliance; or

(g) confer authority merely because an identity exists.

Any enforcement capability applies only where expressly identified and technically implemented.

An observation, inspection or warning must not be interpreted as active enforcement unless the service expressly states that enforcement occurred.


24. APIs and Developer Services

Where we provide APIs, SDKs, packages, extensions, command-line tools or machine-readable endpoints, you may use them subject to:

(a) these Terms;

(b) applicable documentation;

(c) authentication requirements;

(d) rate limits;

(e) product-specific licence terms;

(f) usage restrictions; and

(g) reasonable security requirements.

You must not:

(a) abuse API capacity;

(b) deliberately evade rate limits;

(c) impersonate authorised callers;

(d) misuse credentials;

(e) attempt unauthorised writes to canonical ECZ-ID state; or

(f) use an API in a way reasonably likely to compromise service security or availability.


25. Software and Open-Source Components

Some EcoCitizenz software may be distributed under a separate software, marketplace or open-source licence.

Where a separate licence applies, that licence governs your rights to copy, modify, distribute or use that software.

These Terms continue to govern associated hosted services, accounts, subscriptions and commercial services unless expressly stated otherwise.

Nothing in these Terms restricts rights that applicable open-source licences or mandatory law expressly grant.


26. Marketplace and Hyperscaler Distribution

EcoCitizenz products may be made available through:

(a) cloud marketplaces;

(b) software marketplaces;

(c) AI or agent marketplaces;

(d) developer registries;

(e) partner catalogues;

(f) enterprise procurement platforms; and

(g) other distribution channels.

Availability in a marketplace does not guarantee:

(a) marketplace approval indefinitely;

(b) ranking;

(c) visibility;

(d) recommendation;

(e) customer procurement eligibility;

(f) committed-spend treatment;

(g) marketplace funding; or

(h) acceptance by a particular cloud or enterprise programme.

Marketplace operators may impose their own terms.

Where marketplace terms conflict with these Terms in relation to the marketplace transaction, mandatory marketplace terms may govern that transaction.


27. Professional Services and Engagements

Some EcoCitizenz services may involve human-delivered:

(a) assessments;

(b) audits or readiness reviews;

(c) implementation work;

(d) migration assistance;

(e) pilots;

(f) workshops;

(g) evidence mapping; or

(h) other professional services.

The applicable service page, order, proposal or statement of work defines the agreed deliverables and acceptance criteria.

Unless expressly stated otherwise, professional services are advisory and implementation services rather than statutory certification, regulatory approval or legal advice.

EcoCitizenz may use appropriately vetted specialists or subcontractors to support delivery. EcoCitizenz remains responsible for agreed deliverables under its contract with you.


28. Beta, Preview and Experimental Features

Some features may be designated:

beta, preview, experimental, pilot, early access or evaluation.

Such services may:

(a) change;

(b) contain defects;

(c) have reduced support;

(d) be withdrawn;

(e) have incomplete documentation; or

(f) be unsuitable for production-critical reliance.

Any material limitations will be stated where reasonably practicable.


29. Acceptable Use

You must not use the services to:

(a) break the law;

(b) facilitate unlawful activity;

(c) commit fraud;

(d) impersonate another person or organisation;

(e) falsely claim authority;

(f) misrepresent ECZ-ID state;

(g) create or distribute counterfeit ECZ-ID material;

(h) alter verification outputs in a misleading manner;

(i) circumvent authentication or access controls;

(j) bypass eligibility or lifecycle controls;

(k) manipulate payment or entitlement systems;

(l) upload malware;

(m) attack, disrupt or overload systems;

(n) conduct abusive automated scraping;

(o) access data you are not authorised to access;

(p) probe systems in a manner that creates material security risk;

(q) interfere with other users;

(r) infringe intellectual-property rights;

(s) unlawfully process personal information; or

(t) represent an expired, suspended, revoked or superseded state as current.

Nothing in this clause prohibits conduct that applicable law expressly permits notwithstanding contractual restriction.


30. Security Research

We support good-faith security reporting.

If you believe you have identified a vulnerability, please report it through an authorised EcoCitizenz security or support channel.

Do not:

(a) access customer data unnecessarily;

(b) destroy or alter data;

(c) disrupt production systems;

(d) perform denial-of-service testing;

(e) exploit vulnerabilities beyond what is reasonably required to demonstrate them; or

(f) publicly disclose a vulnerability before reasonable coordinated disclosure where such disclosure would create material risk.


31. Intellectual Property

Unless another licence expressly applies, EcoCitizenz or its licensors own the intellectual-property rights in:

(a) the services;

(b) software;

(c) designs;

(d) schemas;

(e) documentation;

(f) product names;

(g) branding;

(h) content;

(i) APIs;

(j) verification formats; and

(k) underlying technology.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the purchased hosted service for its intended purpose during the applicable service period.

No ownership of EcoCitizenz intellectual property is transferred to you.


32. Badges, Resolver Links and Verification Outputs

Where authorised, you may:

(a) link to an authentic Resolver page;

(b) display an authorised ECZ-ID badge;

(c) use authorised QR verification;

(d) integrate machine-readable verification information; or

(e) reproduce approved verification references.

You must not:

(a) alter a badge in a misleading way;

(b) fabricate a badge;

(c) remove material status indicators;

(d) use an expired or revoked badge as current;

(e) present a screenshot as live verification where current verification is required; or

(f) imply a higher assurance level than the authoritative record provides.


33. Third-Party Services

Our services may interact with providers including:

Shopify, payment providers, cloud providers, authentication providers, marketplaces, AI channels, communications providers and infrastructure services.

Those services may operate under their own terms and privacy notices.

We are not responsible for a third party's independent:

(a) service availability;

(b) ranking;

(c) marketplace decision;

(d) payment decision;

(e) policy;

(f) security;

(g) data processing; or

(h) commercial decision.


34. Google, Microsoft, GitHub and Other Identity Providers

Authentication through Google, Microsoft, GitHub or another provider is subject to that provider's own terms in addition to these Terms.

EcoCitizenz does not receive your third-party provider password.

A provider may suspend, change or discontinue its authentication service independently of EcoCitizenz.

If a provider account becomes unavailable, you may need to use another supported authentication or account-recovery method.


35. Availability and Service Levels

We aim to operate reliable services but do not guarantee uninterrupted availability unless a separate written service-level agreement expressly provides otherwise.

Services may be affected by:

(a) planned maintenance;

(b) emergency maintenance;

(c) cloud-provider incidents;

(d) network failures;

(e) security events;

(f) third-party outages;

(g) deployment activity; or

(h) circumstances outside our reasonable control.


36. Maintenance and Changes

We may modify a service where reasonably necessary to:

(a) improve functionality;

(b) improve security;

(c) address defects;

(d) respond to legal requirements;

(e) respond to third-party platform changes;

(f) preserve system integrity;

(g) retire obsolete functionality; or

(h) maintain interoperability.

Where a change materially adversely affects an active paid service, we will provide appropriate notice or remedy where required by law or contract.


37. Suspension

We may suspend access or change service state where reasonably necessary because:

(a) payment is overdue or reversed;

(b) these Terms are breached;

(c) information is materially inaccurate;

(d) authority has been withdrawn;

(e) fraud or abuse is suspected;

(f) use creates a security risk;

(g) continued operation would breach law;

(h) a third-party dependency requires suspension; or

(i) suspension is reasonably necessary to protect the integrity of ECZ-ID.

Where appropriate and safe, we will provide information about the reason and an opportunity to remedy the issue.


38. Termination

You may stop using non-contracted services at any time.

You may cancel subscriptions according to the applicable cancellation process.

We may terminate a service where:

(a) a material breach is not remedied;

(b) fraudulent or unlawful use occurs;

(c) provision becomes unlawful;

(d) continued provision creates unacceptable security risk;

(e) a required third-party platform permanently withdraws support; or

(f) another contractual termination right applies.

Termination does not automatically erase historical records that must legitimately be retained for legal, audit, security, provenance or lifecycle reasons.


39. Consumer Rights

Nothing in these Terms excludes rights that applicable consumer law does not allow us to exclude.

If you are a consumer, we will provide services with the standards required by applicable law.

Depending on the circumstances, mandatory remedies may include:

(a) repeat performance;

(b) repair;

(c) replacement;

(d) price reduction;

(e) cancellation; or

(f) refund.

Any separate refund or returns policy supplements, and does not override, mandatory consumer rights.


40. Digital Services and Cooling-Off Rights

Where applicable consumer law gives you a cancellation period, we will provide the information and processes required by law.

If you request immediate performance of a digital service during a statutory cancellation period, your cancellation rights may be affected only to the extent permitted by law and only where any legally required request, consent or acknowledgement has been properly obtained.

Nothing in these Terms removes a statutory cancellation right that cannot lawfully be removed.


41. Refunds

Refund eligibility depends on:

(a) applicable law;

(b) the product purchased;

(c) whether performance has begun;

(d) the relevant subscription or engagement terms;

(e) whether a service has already been supplied; and

(f) our applicable refund policy.

A refund or payment reversal may result in an entitlement or Resolver state changing where the associated paid service no longer has a valid basis to remain active.


42. Warranties

We will provide services with reasonable care and skill where legally required.

Except where expressly stated or required by law, we do not guarantee that:

(a) services will be uninterrupted;

(b) all defects will be corrected immediately;

(c) an ECZ-ID will satisfy every customer's due-diligence requirements;

(d) a third party will rely on an ECZ-ID;

(e) a marketplace will distribute a product;

(f) an AI system will recommend a product;

(g) a regulator will accept a particular evidence package;

(h) an insurer will accept an ECZ-ID;

(i) a customer will achieve a particular commercial result; or

(j) an ECZ-ID's state will remain unchanged indefinitely.


43. Business-Customer Liability

This section applies where you use the services wholly or mainly for business purposes.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for:

(a) death or personal injury caused by negligence;

(b) fraud or fraudulent misrepresentation; or

(c) another liability that cannot legally be limited.

Subject to those exceptions and to the fullest extent permitted by law, EcoCitizenz will not be liable for:

(a) indirect or consequential loss;

(b) loss of profit;

(c) loss of revenue;

(d) loss of business;

(e) loss of anticipated savings;

(f) loss of opportunity;

(g) loss of goodwill; or

(h) loss arising solely from reliance on stale or superseded verification information where a current Resolver check was reasonably available.

Subject to the exceptions above, our total aggregate liability arising from the affected services during any 12-month period will not exceed the total fees paid or payable by you to EcoCitizenz for the affected services during that period, unless different liability terms are expressly agreed in writing.


44. Consumer Liability

If you are a consumer, we are responsible for loss or damage that is a foreseeable consequence of our breach of these Terms or our failure to use reasonable care and skill.

We are not responsible for business losses suffered by a consumer.

Nothing in these Terms limits consumer rights or liability that applicable law does not permit us to limit.


45. Reliance on Verification Information

ECZ-ID is designed to make identity, authority, evidence and current state easier to inspect and re-check.

It does not transfer responsibility for your decision to EcoCitizenz.

You should consider:

(a) what the record actually establishes;

(b) what it does not establish;

(c) whether the information is current;

(d) the assurance level;

(e) the relevant scope;

(f) your own risk tolerance; and

Where a Resolver record expressly states limitations on reliance, those limitations form part of the information you should consider.

Use of third-party authentication services may also be subject to the relevant provider's privacy policy.

Information expressly designated for public verification may be displayed through the Resolver or another authorised public verification surface.


47. Confidential Information

Where we receive confidential information in connection with a paid engagement, we will use reasonable measures to protect it and use it only for purposes connected with the relevant service, subject to:

(a) legal obligations;

(b) security requirements;

(c) authorised subcontractors; and

(d) agreed engagement terms.

Information that is legitimately public, independently developed or already lawfully known is not treated as confidential merely because another party also possesses it.

Specific professional engagements may contain additional confidentiality terms.


48. Communications

We may contact you about:

(a) account security;

(b) authentication;

(c) orders;

(d) payment;

(e) subscriptions;

(f) renewal;

(g) activation;

(h) verification;

(i) lifecycle changes;

(j) service changes;

(k) incidents;

(l) support;

(m) policy changes; and

(n) other information reasonably necessary to administer the service.

You cannot necessarily opt out of essential operational communications while the relevant account or service remains active.

Marketing communications may be opted out of separately.


49. Events Outside Our Reasonable Control

We are not responsible for delay or failure caused by circumstances outside our reasonable control, including:

(a) internet failures;

(b) cloud outages;

(c) widespread cyber incidents;

(d) power failure;

(e) telecommunications failure;

(f) natural disaster;

(g) epidemic;

(h) war;

(i) civil disorder;

(j) sanctions;

(k) governmental action;

(l) industrial action; or

(m) failure of a critical third-party platform.

We will take reasonable steps to mitigate the effects where practicable.


50. Compliance, Sanctions and Prohibited Transactions

You must not use the services where doing so would breach applicable:

(a) sanctions;

(b) export-control requirements;

(c) anti-money-laundering laws;

(d) anti-fraud laws;

(e) anti-bribery laws; or

(f) other applicable legal restrictions.

We may refuse or suspend a transaction where reasonably necessary to comply with such obligations.


51. Assignment and Corporate Transactions

You may not transfer contractual rights or obligations in a way that would undermine identity, authority, security, licensing or payment controls without our consent where consent is reasonably required.

EcoCitizenz may transfer its rights and obligations in connection with a genuine:

(a) corporate restructuring;

(b) merger;

(c) acquisition;

(d) financing;

(e) sale of business; or

(f) transfer of the relevant service,

provided this does not unlawfully reduce your rights.


52. Changes to These Terms

We may update these Terms to reflect:

(a) changes to our services;

(b) new products or authentication methods;

(c) legal or regulatory changes;

(d) security requirements;

(e) third-party platform requirements; or

(f) changes to business operations.

with an updated effective date.

Where a material change affects an active paid contractual relationship, we will provide notice where reasonably practicable or legally required.


53. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in effect.

Where possible, the invalid provision will be interpreted or limited only to the extent necessary to make it lawful and enforceable.


54. No Waiver

A failure or delay by either party to exercise a right does not waive that right.

A waiver is effective only in relation to the matter for which it is given.


55. Entire Agreement

These Terms, together with:

(a) the applicable order;

(b) product-specific terms;

(c) licence terms;

(d) statement of work;

(e) service description;

(f) Privacy Policy; and

(g) other terms expressly incorporated into the transaction,

constitute the agreement concerning that service.

Nothing in this clause limits liability for fraud or fraudulent misrepresentation.


56. Governing Law

These Terms are governed by the laws of England and Wales.

If you are acting in the course of business, the courts of England and Wales have exclusive jurisdiction unless a separate written agreement states otherwise.

If you are a consumer, this clause does not deprive you of mandatory rights or jurisdiction protections available under the law that applies to you.

Nothing in this clause prevents either party from seeking urgent legal relief where appropriate or using any mandatory consumer dispute process.
